Description of One-Time Use license.


ez-piks.com ONE-TIME USE LICENSE AGREEMENT
This One-Time Use License Agreement (“Agreement”) is entered into by and between ez-piks.com (“Licensor”) and the individual or entity (“Licensee”) purchasing or downloading the licensed content (“Content”) from ez-piks.com.


1. Grant of License
Subject to the terms of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable license to use the Content for a single, specified use, as detailed at the time of purchase or download. This license is limited to the following:
• One-time use in a single project, publication, or campaign.
• Use in either print or digital format, but not both unless explicitly authorized in writing by Licensor at the time of purchase or download.
• No use in merchandise, resale, templates, or any product for distribution.

2. Restrictions
Licensee shall not:
• Reuse, republish, or redistribute the Content beyond the scope of the licensed use.
• Modify, crop, or overlay the Content in a way that misrepresents its original context or meaning.
• Claim ownership or authorship of the Content.
• Use the Content in any defamatory, unlawful, or misleading manner.

3. Ownership and Attribution
All rights, title, and interest in the Content remain with the original creator and/or Licensor. 

4. Term and Termination
This license is effective upon download or purchase and remains in force until the licensed use is completed. Any breach of this Agreement will result in immediate termination of the license, without refund, and may result in legal action.

5. Indemnification
Licensee agrees to indemnify and hold harmless Licensor and its contributors from any claims, damages, or liabilities arising from Licensee’s use of the Content.

6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.

7. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior communications regarding the Content.

By downloading or purchasing the Content, Licensee agrees to be bound by the terms of this Agreement.

Extended License(s)

Description of extended licenses: 

- Multi‑Seat (Unlimited)
This license lets an unlimited number of people within the same organization use the image. It can be shared on internal servers, cloud folders, team drives, or any workspace your staff uses. All users in your company may access and use the file, as long as the usage follows the standard license terms.

- Unlimited Reproduction / Print Runs

For high‑volume print or digital distribution.

This license allows you to reproduce the image an unlimited number of times within a single project or campaign. It is suitable for large‑scale marketing, mass distribution, and high‑volume printing.

Permitted under this license

Not permitted

For larger quantities or open‑ended resale, a Resale (Unlimited Run) license is required.

- Electronic Items for Resale (Unlimited Run)
This license allows you to use the image inside a digital product that you sell, such as mobile apps, e‑books, digital planners, software interfaces, downloadable templates, or other electronic items. You may sell or distribute the digital product an unlimited number of times, with no cap on downloads, users, or installations.

 

This license does not allow the image to be sold or shared as a standalone file. It must be part of a larger digital product or design.

Royalty-Free License

Royalty Free License

ez-piks.com ROYALTY-FREE LICENSE AGREEMENT
This Royalty-Free License Agreement (“Agreement”) is entered into by and between ez-piks.com (“Licensor”) and the individual or entity (“Licensee”) purchasing or downloading licensed content (“Content”) from ez-piks.com.
1. Grant of License
Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable, worldwide, perpetual license to use the Content for permitted purposes, without additional royalties or recurring fees, subject to the restrictions below.
Permitted uses include:
• Editorial, commercial, and promotional use in print and digital media.
• Social media, websites, blogs, and advertising campaigns.
• Internal presentations, reports, and non-resale merchandise.

 2. Restrictions
Licensee may not:

• Resell, redistribute, or sublicense the Content as a standalone file.
• Use the Content in any product or template intended for resale or distribution (e.g., stock bundles, design templates).
• Claim authorship or imply endorsement by the creator or Licensor.
• Use the Content in any defamatory, obscene, or unlawful manner.


3. Ownership and Attribution
All rights, title, and interest in the Content remain with the original creator and/or Licensor. Attribution may be required if specified at the time of download or purchase.

4. No Exclusivity
This license is non-exclusive. The same Content may be licensed to other parties under similar or different terms.

5. Term and Termination
This license is perpetual unless terminated for breach. Upon termination, Licensee must cease all use of the Content and ____delete____ all copies.

6. Indemnification
Licensee agrees to indemnify and hold harmless Licensor and its contributors from any claims, damages, or liabilities arising from Licensee’s use of the Content.

7. Governing Law
This Agreement shall be governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.

This Agreement constitutes the entire understanding between the parties regarding the licensed Content and supersedes all prior communications.
